READYHAUL TERMS AND CONDITIONS

These Terms and Conditions (the "Terms") govern your access to and use of the ReadyHaul website, web application, mobile interfaces, and related services (collectively, the "Platform"). The Platform is operated by ReadyHaul ("ReadyHaul," "we," "us," or "our").
By accessing or using the Platform, creating an account, or clicking "I agree" (or similar), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the Platform.
1. DESCRIPTION OF THE PLATFORM
ReadyHaul operates an online marketplace that connects:
- Haulers: independent truck owners and operators, including free-on-board (FOB) haulers and other carriers who provide transportation of concrete and related materials; and
- Shippers: ready mix concrete companies, construction companies, material suppliers, and other entities that need hauling services.
The Platform allows Shippers to post hauling opportunities and allows Haulers to view, accept, and manage those opportunities. ReadyHaul may also provide tools to facilitate communication, notifications (including text messages), and certain administrative features.
ReadyHaul is not a motor carrier, not a shipper, not a freight broker, not a freight forwarder, not a dispatcher, and not an employer of Haulers, and does not provide transportation services. ReadyHaul operates a neutral, automated, self-service listing and matching technology only. ReadyHaul does not select, assign, dispatch, or direct any Hauler to perform any job; Haulers self-select jobs on a first-come, first-served basis through the Platform's listing tools. Except where explicitly stated otherwise in a separate written agreement, ReadyHaul does not act as a freight broker or transportation provider and does not assume responsibility for the transportation of freight or for the performance of Haulers or Shippers.
Any hauling services are provided solely by Haulers to Shippers under separate agreements between those parties. ReadyHaul is not a party to and has no responsibility under those underlying transportation agreements, including any obligation regarding rate negotiation, route selection, equipment selection, vehicle inspection, driver qualification, hours-of-service compliance, cargo claims, payment, or collection.
Each Hauler is and remains an independent business that holds its own operating authority and insurance. Each Shipper is solely responsible for selecting Haulers it does business with and for the suitability of any Hauler that accepts its loads. Use of the Platform does not constitute an endorsement or recommendation by ReadyHaul of any Hauler or Shipper.
2. ELIGIBILITY
You may use the Platform only if:
- You are at least eighteen (18) years old and capable of entering into a binding contract.
- You have full authority to agree to these Terms on behalf of yourself and any business entity you represent.
- You and any business you represent comply with all applicable laws and regulations, including but not limited to commercial driving, transportation, motor carrier, brokerage, insurance, tax, and safety requirements.
If you are registering on behalf of a business, "you" and "your" as used in these Terms include both you as an individual and the business entity.
3. ACCOUNTS AND REGISTRATION
To use certain features of the Platform, you may be required to create an account.
- You agree to provide accurate, current, and complete information during registration and to keep that information updated.
- You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
- You must promptly notify us at support@readyhaul.net of any unauthorized access or suspected security breach.
- We may refuse registration, suspend, or terminate your account at our discretion if we believe you have violated these Terms, applicable law, or engaged in fraudulent or harmful activity.
4. ROLES AND RELATIONSHIPS
4.1 Relationship between ReadyHaul and Haulers
Haulers are independent contractors and are not employees, agents, partners, joint venturers, or representatives of ReadyHaul. Nothing in these Terms is intended to create any employment, agency, joint venture, partnership, or franchise relationship.
Haulers are solely responsible for:
- Maintaining all required licenses, registrations, permits, and qualifications (including but not limited to CDL, DOT, and FMCSA requirements where applicable).
- Maintaining and operating vehicles in a safe and compliant condition.
- Obtaining and maintaining all required insurance, including auto liability, cargo, workers compensation, and any other coverage required by law or contract.
- Complying with hours-of-service, safety, and other transportation regulations.
- Determining whether to accept opportunities posted on the Platform and the manner and means of performing any accepted work.
4.2 Relationship between ReadyHaul and Shippers
Shippers are solely responsible for:
- Providing accurate load information, including pickup and delivery locations, quantities, time windows, and special requirements.
- Ensuring that their operations and use of Haulers comply with all applicable laws, regulations, and site safety rules.
- Any contractual obligations they undertake with Haulers, including payment terms where they pay Haulers directly.
ReadyHaul does not guarantee that any Hauler will accept a posted opportunity or that any posted job will be completed.
5. MARKETPLACE AND PAYMENT STRUCTURE
5.1 Job Postings and Acceptance
The Platform may allow Shippers to:
- Post hauling opportunities, including job details, proposed pay, and timing; and
- View and select Haulers who express interest or accept specific jobs.
Haulers may:
- View available opportunities;
- Accept or decline jobs at their discretion; and
- Communicate with Shippers through the Platform.
ReadyHaul does not warrant that any listing is accurate, complete, or current and does not guarantee job volume or earnings.
5.2 Payments between Shippers and Haulers
In many cases, Shippers will pay Haulers directly for services performed, separate from ReadyHaul. Where this is the case:
- ReadyHaul is not a party to payment arrangements between Shippers and Haulers.
- ReadyHaul is not responsible for collection or non-payment of amounts owed between Shippers and Haulers.
- Any disputes regarding payment, performance, or quality of services are solely between Shippers and Haulers.
If ReadyHaul, now or in the future, offers tools to facilitate invoicing, payment processing, or disbursements, those tools will be provided via third-party service providers (for example, payment processors). ReadyHaul is not a bank, money transmitter, or financial institution and does not hold funds in trust.
5.3 ReadyHaul Fees
ReadyHaul may charge Shippers and/or Haulers fees for the use of the Platform or for each completed job, as disclosed in your account or in a separate written agreement.
- You authorize ReadyHaul and our payment providers to charge any applicable fees, taxes, and other amounts to your designated payment method.
- Fees are generally non-refundable unless we clearly state otherwise or are required to provide a refund by law.
6. USER RESPONSIBILITIES AND REPRESENTATIONS
By using the Platform, you represent and warrant that:
- All information you submit is true, accurate, and complete.
- You have all necessary rights, licenses, and authority to use the Platform and to enter into and perform any contracts you make through it.
- You will comply with all applicable laws, rules, and regulations, including transportation, safety, environmental, data privacy, and anti-spam laws.
- You will not use the Platform for any illegal, fraudulent, or unsafe purpose, including transporting illegal substances or violating environmental or site specific restrictions.
- You will maintain all legally required insurance. Insurance status is verified automatically through DOT number records filed with TxDMV.
7. SAFETY, COMPLIANCE, AND INSURANCE
ReadyHaul verifies Hauler insurance status through DOT number records filed with the Texas Department of Motor Vehicles (TxDMV). ReadyHaul may also collect W9 tax documentation and other compliance information. However:
- ReadyHaul does not guarantee the accuracy, sufficiency, or continued validity of any information obtained from TxDMV or submitted by users.
- ReadyHaul does not provide a safety rating or insurance endorsement and does not assume responsibility for verifying compliance beyond automated DOT record checks.
- Each user is solely responsible for its own safety practices, regulatory compliance, and insurance coverage.
Nothing in these Terms or in the use of the Platform modifies or supersedes any legal obligations under federal, state, or local law, including laws administered by departments of transportation, motor carrier regulators, or other agencies.
8. SMS AND EMAIL COMMUNICATIONS
8.1 Consent to Communications
By creating an account, providing your phone number, and opting in where indicated, you agree that ReadyHaul may send you:
- Text messages and email messages related to your account and the Platform, such as registration confirmations, security alerts, and administrative notices.
- Operational messages relating to hauling opportunities, job status, scheduling changes, cancellations, and similar transactional notifications.
These communications may be sent using automated technology. You understand that consent to receive these messages is not a condition of being a Hauler or a Shipper on the Platform.
8.2 Message Types and Frequency
Message frequency will vary based on your activity and preferences, but may include multiple messages per day when you are actively using the Platform or have open jobs.
Example messages include:
- "ReadyHaul: New load available at Plant A tomorrow at 7:30 AM. Reply YES to view details."
- "ReadyHaul: Job #12345 has been updated. Pickup time is now 9:00 AM."
8.3 Opting Out
You may opt out of promotional or non-essential SMS communications at any time by replying STOP to any text message you receive from ReadyHaul.
- After you send STOP, we will send you one final message confirming that you have been unsubscribed.
- After this, you will no longer receive SMS messages from us at that number, except where we are legally permitted or required to send certain notices.
To receive help regarding SMS, reply HELP to any message or contact us at support@readyhaul.net.
Opting out of SMS communications may impact your ability to receive real-time job notifications and updates.
You may also manage your communication preferences in your account settings or by contacting us.
8.4 Charges and Carrier Disclaimers
Message and data rates may apply from your mobile carrier. You are responsible for all charges for SMS, data usage, and wireless service associated with messages from or to ReadyHaul.
Mobile carriers are not liable for delayed or undelivered messages.
You must provide an accurate mobile number owned or controlled by you and promptly update your account if your number changes.
9. USER CONTENT AND FEEDBACK
The Platform may allow you to submit, upload, or provide content, including profile information, job listings, messages, documents, ratings, reviews, or other materials ("User Content").
You retain ownership of your User Content, but you grant ReadyHaul a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, display, perform, distribute, and otherwise exploit your User Content in connection with operating and improving the Platform and our business.
You represent and warrant that:
- You have all necessary rights to provide the User Content and grant this license.
- Your User Content does not infringe any third-party rights or violate any law.
ReadyHaul may, but is not obligated to, monitor, remove, or edit User Content that we believe violates these Terms or is otherwise objectionable.
If you provide comments, suggestions, or feedback regarding the Platform ("Feedback"), you agree that we may use that Feedback without restriction or compensation to you.
10. PROHIBITED ACTIVITIES
You agree not to do any of the following:
- Use the Platform for any unlawful purpose or in violation of any applicable law.
- Misrepresent your identity, qualifications, insurance coverage, or affiliation with any person or entity.
- Interfere with or disrupt the Platform or servers, including by introducing viruses, malware, or harmful code.
- Attempt to gain unauthorized access to the Platform or other users' accounts.
- Use the Platform to send unsolicited or unauthorized advertising or promotional material.
- Harvest or collect information about other users without their consent.
- Reverse engineer, decompile, or attempt to derive the source code of any part of the Platform (except to the extent such restriction is prohibited by law).
- Use any automated means (including bots or scrapers) to access the Platform, except through documented public interfaces.
We reserve the right to investigate and take appropriate action, including terminating accounts and reporting to law enforcement, for any unauthorized or unlawful use.
11. INTELLECTUAL PROPERTY
The Platform, including all software, text, graphics, logos, trademarks, service marks, and other materials provided by ReadyHaul (excluding User Content), is owned by or licensed to ReadyHaul and protected by intellectual property and other laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your internal business purposes related to hauling or obtaining hauling services, in accordance with these Terms.
You may not reproduce, modify, distribute, create derivative works from, publicly display, or otherwise exploit the Platform or any content except as expressly permitted in these Terms or with our prior written consent.
12. THIRD-PARTY SERVICES
The Platform may integrate with or link to third-party services, such as payment processors, mapping providers, communication tools, or other platforms.
- Your use of third-party services is subject to the terms and privacy policies of those third parties.
- ReadyHaul does not control and is not responsible for third-party services.
- We may change or discontinue integrations with third-party services at any time.
13. PRIVACY
Your use of the Platform is also subject to our Privacy Policy, which explains how we collect, use, and disclose information about you.
The Privacy Policy is incorporated by reference into these Terms. By using the Platform, you acknowledge that you have read and understand our Privacy Policy.
14. DISCLAIMERS
To the maximum extent permitted by applicable law:
- The Platform and all services are provided on an "as is" and "as available" basis, without any warranties of any kind, whether express, implied, or statutory.
- ReadyHaul does not warrant that the Platform will be uninterrupted, free of errors, secure, or free of viruses or other harmful components.
- ReadyHaul does not guarantee:
- That any job posting will be filled or completed;
- The quality, safety, or legality of any hauling services;
- The truth or accuracy of any user information or content; or
- The performance or conduct of any user.
You rely on any information obtained through the Platform at your own risk.
All implied warranties, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, are disclaimed to the fullest extent allowed by law.
15. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law:
- ReadyHaul and its owners, officers, employees, contractors, and agents will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, lost revenue, loss of data, or business interruption, arising out of or related to your use of the Platform, even if we have been advised of the possibility of such damages.
- ReadyHaul's total aggregate liability to you for all claims arising out of or related to the Platform or these Terms will not exceed the greater of:
- The total amount of fees you paid to ReadyHaul for use of the Platform during the twelve (12) months immediately preceding the event giving rise to the claim; or
- One hundred United States dollars ($100).
Some jurisdictions do not allow limitations of liability, so some of the above limitations may not apply to you. In such jurisdictions, our liability will be limited to the fullest extent allowed by law.
16. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless ReadyHaul and its owners, officers, employees, contractors, and agents from and against any and all claims, demands, actions, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of or access to the Platform;
- Your violation of these Terms or any applicable law;
- Your User Content;
- Any hauling services you provide or receive; or
- Your negligence, misconduct, or violation of the rights of any third party.
We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you will cooperate with us in asserting any available defenses.
Mutual Indemnification between Haulers and Shippers. As between Haulers and Shippers:
- Each Hauler agrees to indemnify, defend, and hold harmless the applicable Shipper and ReadyHaul from any claims, losses, or liabilities arising out of the Hauler's transportation services, equipment, drivers, employees, contractors, insurance, regulatory compliance, or breach of these Terms.
- Each Shipper agrees to indemnify, defend, and hold harmless the applicable Hauler and ReadyHaul from any claims, losses, or liabilities arising out of the load, the loading or unloading site, the materials transported, the Shipper's instructions, payment between Shipper and Hauler, or the Shipper's breach of these Terms.
These mutual obligations between Haulers and Shippers operate independently of, and do not reduce, each user's separate indemnification obligations to ReadyHaul above.
17. SUSPENSION AND TERMINATION
We may, in our discretion and without liability, suspend or terminate your access to the Platform, or terminate these Terms with respect to you, at any time and for any reason, including if we believe that:
- You have violated these Terms or applicable law;
- You pose a risk of fraud or harm to us or others; or
- It is necessary to protect our legitimate business interests.
You may discontinue your use of the Platform and close your account at any time, subject to any ongoing obligations you may have to other users or to ReadyHaul.
Upon termination, the following sections will continue in effect: 7, 8, 9, 11, 13–18, and any other provisions that by their nature are intended to survive.
18. GOVERNING LAW; DISPUTE RESOLUTION
These Terms and any dispute arising out of or related to them or the Platform will be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law rules.
You agree that any legal action or proceeding arising out of or relating to these Terms or the Platform will be brought exclusively in the state or federal courts located in Harris County, Texas, and you consent to the personal jurisdiction of those courts.
19. CHANGES TO THE TERMS
We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of these Terms and may provide additional notice via the Platform or by email.
Your continued use of the Platform after the updated Terms become effective constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Platform.
20. MISCELLANEOUS
- Entire Agreement. These Terms, together with any other policies or agreements expressly incorporated by reference (including our Privacy Policy), constitute the entire agreement between you and ReadyHaul regarding the Platform.
- Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
- No Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
- Assignment. You may not assign or transfer these Terms or your rights or obligations hereunder without our prior written consent. We may assign or transfer these Terms without restriction.
- No Third-Party Beneficiaries. Except as expressly stated, these Terms do not create any rights in any third parties. No customer of any Shipper, no shipper-of-record, no consignee, no insurer, and no other person who is not a registered user of the Platform is a third-party beneficiary of these Terms.
- Electronic Delivery. You consent to receive these Terms, updates, notices, disclosures, and other communications from ReadyHaul electronically (including by email, in-Platform notice, or SMS). Electronic communications satisfy any legal requirement that such communications be in writing.
- Acknowledgment of Acceptance. Each time you log in, view a job, accept a job, post a job, or otherwise interact with the Platform, you reaffirm your acceptance of the then-current version of these Terms. ReadyHaul may require you to re-accept these Terms when they are materially updated; if you decline, your access to the Platform may be suspended.
